InstaRyde Inc. and its divisions, affiliates and subsidiaries (hereinafter "InstaRyde") respects the privacy and the integrity of any information that you provide in the use of our Services, including the InstaRyde Platform. The Privacy Policy covers both our "online" (e.g., web and mobile services, including any web sites operated by us such as www.instaryde.com, mobile applications, however accessed and/or used, whether via personal computers, mobile devices or otherwise) and "offline" (e.g., collection of data through mailings, telephone, or in person) activities owned, operated, provided, or made available by InstaRyde. Our "online" and "offline" activities are collectively referenced as the "Services." This Privacy Policy also applies to your use of interactive features or downloads that: (i) we own or control; (ii) are available through the Services; or (iii) interact with the Services and post or incorporate this Privacy Policy. This Privacy Policy explains our policy regarding the collection, use and disclosure of your personal information.

This Privacy Policy will be continuously assessed against new technologies, business practices and our users' needs. As we update, expand and diversify our products and services, this Privacy Policy may evolve. Please check this Privacy Policy from time to time for updates by checking the date of the "Last Update" at the top of this document. Application of this policy

At InstaRyde, we are committed to protecting the privacy of our users, which is why we do not sell or rent any personal information or personally identifiable information regarding our users to any third party. We hope this Privacy Policy will answer your questions regarding how we treat personal information gathered from visitors to our web sites and users of our Services.

What is personal information

For the purposes of this Privacy Policy, personal information means information that can be used to identify and contact you, specifically your name, address, e-mail address, country of residence, as well as or "Demographic Information" (i.e. information that you submit, or that we collect, that is not personal information; this may include, but is not limited to, browsing history information, searching history information, usage information and registration history information. We will also collect the contact information of your friends, if you choose to connect your contacts and address book information with InstaRyde and your login credentials to your social network accounts, such as Facebook and Twitter, if you choose to connect those accounts with your InstaRyde account. You represent and warrant that you have the authority to provide us with any such contact information. Demographic information is divided into two categories:

Personal information does not include "aggregate" information, which is data we collect about the use of our site and our services. Our privacy policy does not restrict or limit our collection and use of aggregate information.

Consent

You acknowledge and agree that by accessing or using our Services you fully understand, accept and voluntarily consent to the collection, use, retention and disclosure of personal information in accordance with this Privacy Policy. It is always your choice whether or not you provide us with your personal information; however, a decision to withhold personal information may restrict or prevent us from providing you with a particular product or service. We will only collect, use, and disclose your personal information with your consent, except where otherwise permitted or required by applicable law or regulatory requirement.

Collection of personal information

In order to use certain features of our services you must first complete a registration process and establish an account ("Account"). During registration for your Account you will be required to provide basic information such as your name, address and email address and establish a password. InstaRyde will retain this information and associate it with your Account. In addition, to place an order for services, InstaRyde will require that you provide payment information such as credit card numbers and billing addresses and InstaRyde will also acquire your IP address. Credit card information, including the card number, expiry date and security code, is securely collected by us and passed directly to payment processors over a secure socket layer (see the section entitled "Stripe" below). Upon successful transfer of credit card data, the information is erased permanently and not retained by InstaRyde in any form.

Information Collected from Drivers wishing to provide their services

If you wish to apply to drive on our web site(s), we will collect Personal Information such as your name, email address, phone number and may collect additional information such as resume and gender, criminal background checks and driving and insurance records.. We use the information collected within this area of the web site(s) to determine your qualifications for the position in which you have applied and to contact you to set up an interview.

Use of your personal information

You acknowledge that InstaRyde may use the following types of personal information about you:

  1. Information you provide us directly: We ask for certain information such as your username, first and last name, birthdate, phone number, e-mail address, vehicle make, model and year, driver’s license number, automobile registration information, and automobile insurance policy, as well as any information you permit us to collect as part of a background check when you register for a InstaRyde ride taker or driver account, or if you correspond with us. You may also provide us with your financial information for purposes of processing a transaction on or through the Service. We may also retain any messages you send through the Service, and may collect information you provide in User Content you post to the Service. We use this information to operate, maintain, and provide to you the features and functionality of the Service, as is further described below.

  2. Inviting a friend to use InstaRyde from the "Invite friends" or "Driver referral" feature: If you choose to use our invitation service to invite a third party to the Service through our "Invite friends" feature, you may directly choose a friend to invite through your mobile device’s native contact list – but we do not require that you import your contacts list to the Service, and we do not retain the information contained in your contacts list. You understand that by inviting a friend to InstaRyde through the "Invite friends" feature, you are directly sending a an SMS text message or an email from your personal accounts and that we are not storing your contact list. In addition, you understand and agree that normal carrier charges apply to communications sent from your phone. Since this invitation is coming directly from your email or phone, we do not have access to or control this communication. If you choose to use our "Driver referral" feature, we will ask you to provide us with certain personal information for a third party so that we can invite them to join the Service, including their first and last name, and email address and phone number. We may retain this information for the purposes of inviting the third party to join the Service and to track the success of the referral feature. Unless the invitee agrees to join the Service, we do not use the invitee’s contact information for marketing purposes, and we do not share such information with third parties. The invitee may contact us at any time to request that we remove his or her information from our records at INSERT ADDRESS

  3. Analytics information. We may directly collect analytics data, or use third-party analytics tools, to help us measure traffic and usage trends for the Service. These tools collect information sent by your browser or mobile device, including the pages you visit and other information that assists us in improving the Service. We collect and use this analytics information in aggregate form such that it cannot reasonably be manipulated to identify any particular individual user.

  4. Cookies information: When you visit the Service, we may send one or more cookies — a small text file containing a string of alphanumeric characters — to your computer that uniquely identifies your browser and lets InstaRyde help you log in faster and enhance your navigation through the site. A cookie may also convey information to us about how you use the Service (e.g., the pages you view, the links you click and other actions you take on the Service), and allow us or our business partners to track your usage of the Service over time. A persistent cookie remains on your hard drive after you close your browser. Persistent cookies may be used by your browser on subsequent visits to the site. Persistent cookies can be removed by following your web browser’s directions. A session cookie is temporary and disappears after you close your browser. You can reset your web browser to refuse all cookies or to indicate when a cookie is being sent. However, some features of the Service may not function properly if the ability to accept cookies is disabled.

  5. Log file information: Log file information is automatically reported by your browser or mobile device each time you access the Service. When you use our Service, our servers automatically record certain log file information. These server logs may include anonymous information such as your web request, Internet Protocol ("IP") address, browser type, referring / exit pages and URLs, number of clicks and how you interact with links on the Service, domain names, landing pages, pages viewed, and other such information.

  6. Clear gifs/web beacons information: When you use the Service, we may employ clear gifs (also known as web beacons) which are used to anonymously track the online usage patterns of our Users. In addition, we may also use clear gifs in HTML-based emails sent to our users to track which emails are opened and which links are clicked by recipients. The information is allows for more accurate reporting and improvement of the Service.

  7. Device identifiers: When you access the Service by or through a mobile device (including but not limited to smart-phones or tablets), we may access, collect, monitor and/or remotely store one or more "device identifiers," such as a universally unique identifier ("UUID"). Device identifiers are small data files or similar data structures stored on or associated with your mobile device, which uniquely identify your mobile device. A device identifier may be data stored in connection with the device hardware, data stored in connection with the device’s operating system or other software, or data sent to the device by InstaRyde. A device identifier may convey information to us about how you browse and use the Service. A device identifier may remain persistently on your device, to help you log in faster and enhance your navigation through the Service. Some features of the Service may not function properly if use or availability of device identifiers is impaired or disabled.

  8. Location data: When you access the Service by or through a mobile device, we may access, collect, monitor and/or remotely store "location data," which may include GPS coordinates (e.g. latitude and/or longitude) or similar information regarding the location of your mobile device. Location data may convey to us information about how you browse and use the Service. Some features of the Service, particularly location-based services, may not function properly if use or availability of location data is impaired or disabled.

  9. Commercial and marketing communications: We use the information we collect or receive to communicate directly with you. We may send you emails containing newsletters, promotions and special offers. If you do not want to receive such email messages, you will be given the option to opt out or change your preferences. We also use your information to send you Service-related emails (e.g., account verification, purchase and billing confirmations and reminders, changes/updates to features of the Service, technical and security notices). You may not opt out of Service-related e-mails.

  10. Use of certain service type information we collect about you: We use or may use cookies, log file, device identifiers, location data and clear gifs information to: (a) remember information so that you will not have to re-enter it during your visit or the next time you visit the site; (b) provide custom, personalized content and information; (c) to provide and monitor the effectiveness of our Service; (d) monitor aggregate metrics such as total number of visitors, traffic, and demographic patterns; (e) diagnose or fix technology problems; (f) help you efficiently access your information after you sign in; (g) to provide advertising to your browser or device, and (h) automatically update the InstaRyde application on your mobile devices.

You may always choose not to provide personal information, but if you so choose, our products and services may not be available to you. You agree that you are under no obligation to provide us with this information and can access many aspects of our Web sites without providing us any personal information.

We use your email address and Your other personal information to help Us efficiently operate the InstaRyde Platform, to contact You in connection with Your transactions and other activities on the InstaRyde Platform (including, but not limited to, confirmation emails, or important news that could affect Your relationship with InstaRyde), to forward trip information to You from other Users, to forward trip information from You to other Users, and to contact You and others to suggest potential matches. We use Your contact information to find and connect with Your friends (when instructed by You). These types of communications are known as "Operational Communications." In some cases, Operational Communications may also contain commercial messages, such as banner ads and special offers.

To operate the InstaRyde Platform, including processing Your transactions and supporting Your activities on the InstaRyde Platform, We may share Your personal information with Our agents, representatives, contractors and service providers so they can provide Us with support services such as email origination, receipt or support services, customer relationship management services, and order fulfillment. We require these entities not to use Your information for any other purpose.

By purchasing, or registering or making reservations for, products or services offered or sponsored by third parties on the InstaRyde Platform, or electing to receive communications (such as emails or material by mail) or electing to participate in contests, sweepstakes or other programs (such as discount or rewards programs), offered or sponsored by third parties on the InstaRyde Platform, You consent to Our providing Your personal information to those third parties. Those third parties may use Your personal information in accordance with their own privacy policies. You will need to contact those third parties to instruct them directly regarding Your preferences for the use of Your personal information by them. Additionally, You agree that We may use and disclose all such information so submitted to such third parties in the same manner in which We are entitled to use and disclose any other information You submit to Us. Any third party with whom We are allowed to share Your personal information is authorized to use Your personal information in accordance with Our contractual arrangements with such third parties and in accordance with their own privacy policies, over which We have no control, and You agree that We are not responsible or liable for any of their actions or omissions. Those who contact You will need to be instructed directly by You regarding Your preferences for the use of Your personal information by them.

How We Use Demographic Data

We may review all demographic Data. We may use public information to enable other users to search Your profile, to determine whether Your trip details fit other user's requirements, and to communicate with You. We may use demographic information to tailor the InstaRyde Platform and communications to Your interests. We may also share demographic information with advertisers on an anonymous and aggregated basis (i.e., without telling the advertisers Your identity). One of the reasons We may do this is to increase the likelihood that Our advertisers' goods and services will appeal to You as a user of the InstaRyde Platform. Our sharing of demographic information with advertisers is anonymous (i.e., We do not tell advertisers which particular InstaRyde Users are members of which demographic groups), subject to the rest of this privacy policy. When You respond to an advertisement, however, We ask You to remember that if that ad that is targeted to a demographic group and You decide to give the advertiser Your personal information, then the advertiser may be able to identify You as being a member of that demographic group.

In addition, we may use your Personal Information or Usage Information that we collect about you: (1) to provide you with information or services or process transactions that you have requested or agreed to receive including to send you electronic newsletters, or to provide you with special offers or promotional materials on behalf of us or third parties; (2) to process your registration with the Services, including verifying your information is active and valid; (3) to improve the Services or our services, to customize your experience with the Services, or to serve you specific content that is most relevant to you; (4) to enable you to participate in a variety of the Services’ features such as online or mobile entry sweepstakes, contests or other promotions; (5) to contact you with regard to your use of the Services and, in our discretion, changes to the Services and/or the Services’ policies; (6) for internal business purposes; (7) for inclusion in our data analytics; and (8) for purposes disclosed at the time you provide your information or as otherwise set forth in this Privacy Policy.

Please note that information submitted to the Services via a "contact us" or other similar function may not receive a response.

Disclosure of your personal information

Except as otherwise disclosed to you, InstaRyde will not sell or rent your personal information to any other party and will only use and disclose your personal information for the purposes for which it was collected as described in this Privacy Policy. However, you agree that InstaRyde may disclose your personal information in the circumstances set out below:

  1. InstaRyde may disclose your personal information with your prior consent;

  2. InstaRyde may be required by law to disclose personal information without your consent in the event of emergency situations or when required by government or other legal authority;

  3. InstaRyde may also disclose personal information to third parties in connection with a corporate re-organization, merger or amalgamation, or the sale of all or substantially all of our assets, provided that, where appropriate, any party to whom the information is disclosed is bound by agreements or obligations, and required to use or disclose your personal information in a manner consistent with the use and disclosure provisions of this Privacy Policy, unless you consent otherwise; or

  4. InstaRyde may share your personal information with service providers who perform services on our behalf. For example, we may hire other companies to handle the processing of payments, collect debts, to provide data storage, to host websites, to fulfill orders, to assist in direct marketing, to conduct audits, etc. Those companies will be permitted to obtain only the personal information they need to provide the service. Each company is bound by agreement or obligations with InstaRyde to implement and maintain reasonable security procedures and practices in order to use and disclose your personal information in a manner consistent with the use and disclosure provisions of this Privacy Policy, unless you consent otherwise.

  5. As a Passenger, when you sign up for a ride, we will share your username, "star rating," pick up and drop-off addresses, and phone number with the Driver. As a Driver, we will share your photograph, a photograph of your vehicle, "star rating", first name, last initial, vehicle make, model, and year, and phone number with the passenger you will be picking up.

How to opt-out / withdraw consent

You can withdraw your consent for the use of your personal information at any time by deleting your Account. Information may be retained by InstaRyde for audit or archival purposes or as required by applicable federal and provincial laws.

If you do not wish to receive marketing communications, you may follow the "unsubscribe" instructions included within each e-mail communication or by selecting or deselecting (depending on the service) the appropriate option in your Account settings. Please keep in mind that, even if you choose not to receive marketing communications, you will continue to receive transactional or account communications related to services or products that you have requested (e.g. purchase confirmation e-mails and receipts).

How long we keep Personal Information

InstaRyde maintains information about you for as long as we provide service to you, and longer for related business activities. After information is no longer necessary for our business purposes, we destroy the information unless there is an outstanding request or order to preserve the information.

Safeguards we have in place

InstaRyde stores and process your personal information on our computers principally in Canada as well as on internationally. InstaRyde employs reasonable managerial and technical measures to ensure that your personal information is secure. In addition, our dedicated team of information technology professionals works to maintain data accuracy and prevent unauthorized access to sensitive information. Unfortunately, no security system can be guaranteed to be 100% secure. Accordingly, we cannot guarantee the security of your personal information and cannot assume liability for improper access to it. The Internet is not a secure medium and you acknowledge and agree that the privacy of your e-mail communication and personal information can never be guaranteed as any e-mail communication may be lost, intercepted or altered. By using our Web sites, or providing personal information to us through any means, you agree that we can communicate with you electronically regarding security, privacy, and administrative issues relating to your use of our Web sites and our services.

Children

YOU MUST BE EIGHTEEN (18)YEARS OR OLDER TO ACCESS THE SERVICES. IF YOU ARE UNDER EIGHTEEN YEARS OF AGE, YOU ARE NOT PERMITTED TO ACCESS THE SERVICES FOR ANY REASON.

Access to your personal information

You are responsible for updating and maintaining the truth and accuracy of the personal information you provide to us relating to your Account. If you want to update the personal information, you have provided to us, you should do so by visiting the "Account" section of the Web site. You must be signed in to access your Account.

There are instances where applicable law or regulatory requirements allow or require us to refuse to provide some or all of the personal information that we hold about you. In addition, the personal information may have been destroyed, erased or made anonymous in accordance with our record retention obligations and practices. If we do not provide you with access to your personal information, we will endeavor to inform you of the reasons why, subject to any legal or regulatory restrictions.

Collection of non-personal information

You acknowledge and agree that from time to time InstaRyde, its service providers and business partners may collect non-personal information from your use of our Web site and services such as server log files, environmental variables (such as MAC address, computer type (Windows or Macintosh), screen resolution, OS version, Internet browser, and Internet browser version) and from scanning navigational data to collect non-personal information about our users in order to help us deliver better service and user experience. Such non-personal information could include the IP addresses or areas of site being clicked on most frequently. InstaRyde and our service providers (including ad servers, outbound email vendors, affiliate vendors and search engine advertising agencies, and providers of web analytics tools) and business partners may also use "cookies" as well as so-called "pixel tags," "web beacons," "clear GIFs" and other similar technologies to help us deliver better service and user experience and to facilitate your ongoing access to and use of our services. Cookies are files saved to your computers through your Web browser to enable websites or service providers systems to recognize your browser and capture and remember certain information. InstaRyde, like many other Web services, uses cookies to understand and save your preferences for future visits and to compile aggregate data about site traffic and site interaction, so that we can offer better site experiences and tools in the future. Braintree, a division of PayPal, Inc.

All charges, as applicable, shall be facilitated through Braintree, a division of PayPal, Inc., InstaRyde's third-party payment processing service. You agree that if the transfer fails (due to a typo in the bank details, for example), it can take up to five business days for Braintree to be notified. You agree that any mandatory amounts (damages) charged following a ride (a "Charge") are due immediately.

You acknowledge and agree that InstaRyde makes no representation, warranty, covenant, or claim regarding, and InstaRyde expressly disclaims and denies any responsibility or liability for, directly or indirectly, the privacy practices in regard to any personal information that we disclose on your behalf or you provide to Braintree directly or any other party in relation to purchasing a product or service from our web sites.

You acknowledge and agree that our terms and policies do not govern any other party. You acknowledge our recommendation to review the applicable privacy and data gathering practices, of any third party to which you provide personal information.

Interpretation of this Privacy Policy

This Privacy Policy does not create or confer upon any individual any rights, or impose upon InstaRyde any obligations, in addition to any rights or obligations imposed by Canada's applicable federal and provincial privacy laws. Should there be any inconsistency between this Privacy Policy and Canada's applicable federal and provincial privacy laws, this Privacy Policy will be interpreted to comply with the applicable privacy laws.

Any services provided by InstaRyde is controlled and operated by us from Canada, and we do not intend that our services subject us to the laws or jurisdiction of any state, country or territory other than that of Canada. We do not represent or warrant that the services, or any part of the services, are appropriate or available for use in any particular jurisdiction. Those who choose to access the services do so on their own initiative and at their own risk, and are responsible for complying with all local laws, rules and regulations. We may limit the services' availability, in whole or in part, to any person, geographic area or jurisdiction we choose, at any time and in our sole discretion.
